User access to this Site and the Services (as defined below) is void and unauthorized where prohibited by applicable law or regulation.

Unless stated otherwise, our current Privacy Policy applies to all information that we have about you. The above sentence notwithstanding, this Privacy Policy only applies to information collected by EPN.

Description of the Site.

The Site directly promotes and permits its Users to rent properties, such as apartments, condominiums, vacation homes, etc owned by, produced by, related to, promoted by or featuring various landlords (“Landlords”). This site allows its users pay rent online. Users Paying rent are referred to as "Renters". Items listed on this site for rent are referred to as “Properties”. The site also enables landlords pay commissions to other users for managing properties. Users receiving commissions are referred to as "Property Managers". All user activities are permitted under certain terms and conditions as set forth in the T&Cs. All activities and capabilities offered by or through the Site shall individually and collectively be referred to as “Services”. Users, including renters, property manager and landlords, of the Site may, where and if available, submit any photograph(s), video(s), image(s), text, rating, opinions and/or comment(s) or other content to the Site (“Submission(s)”).

In order to have access to certain features of the Site, you may be required to create an Account. You may never use someone else’s Account. When creating an Account with the Site, you agree to provide accurate, current and complete information about yourself ("Registration Data") as prompted by our registration form. Registration Data may include your e-mail address, user name and password. In order to use some of our Services, such as Purchasing Products, you may also need to voluntary provide some information including billing address and credit card information.

What information does the Site collect?

Visitor/Non-Member Activity. Visitors to the Site may choose to browse, search and examine any information or Submissions available on the Site without registering with the Site or setting up an Account. When you visit our Site as a non-Member, we collect only information you provide or submit to the Site directly, information you send to us by email, information and messages you send or post through our accounts on third party social networks (such as Facebook, YouTube or Twitter), comments you provide on Products or messages you send through any phone, SMS or mobile services we may provide. The foregoing statement not withstanding, our servers may recognize and collect visitors’ domain names, IP addresses and any information on pages visited.

Account Activity. In order to have access to some features available on the Site, a User may register and setup an account (“Account”). We may ask for and collect some PII when you create an Account, including, but not limited to your e-mail address, name and a password, which is used to protect your account from unauthorized access. We may also collect such PII as you age, gender, street address, telephone number, demographic information and photos. Once you become a member, we also collect a variety of information and PII depending on the Services you use or engage in such as information on properties you’ve paid rent for.

Submissions to the Site. Submissions include the upload, submission, sending or posting, where and if available, by Users/Visitors, of any photograph, video, image, text, opinion, comment or other content to the Site. Any PII or Submission that you voluntarily disclose on the Site is collected by us. This may include any information you submit as part of your Account profile as well as comments you make on the Site. This may also include any Products you post for rent on the Site. In addition, some information (for example, PII contained in your comments, messages or profile pages, if any) may become publicly available and can then be collected, viewed and used by third parties.

Usage Information. We may collect information about your usage, such as when you use the Site, the Submissions you make, the information you review, the frequency and size of data transfers, as well as information you display or click on in the Site. If you are logged in we may associate this information with your Account.

Surveys & Newsletters. We may now or in the future send or run surveys or provide newsletters to our Members and visitors. At such time we may request certain PII such as name, email address and demographic information.

Click-Through URLs. In some of our email messages we may use a “click-through URL” linked to content on the Site. When Users click one of these URLs, they pass through our web server before arriving at the destination web page. We track this click-through data to help us determine interest in particular topics and measure the effectiveness of our communications.

How do we use the information you provide us?

We use your PII such as your name, address, and e-mail address in order to provide you with the Services and to potentially serve you with advertising while on the Site. All information that you submit to us is governed by this Privacy Policy, the T&Cs and any other rules.

1. We may share information collected including your PII with our agents, representatives, contractors and service providers so they can provide us with support services such as authorization of credit card transactions, e-mail origination, support services, customer relationship management services and order fulfillment.
2. We may share information collected including your non-financial PII with landlords on the Site. landlords may receive non-financial PII of all renters and properpy managers who rent, comment or receive commission on Properties they promote.
3. The account name you create during registration may be displayed to other Users when you provide Submissions such as commenting. Any Submission that you provide through the Site may be redistributed through the Internet to other websites and other media channels, and may be viewed by the general public.
4. Unless you opt-out, we may use your e-mail or other PII to send commercial or marketing messages without your further consent. Be advised that we use your e-mail address and other contact information provided by you to contact you regarding your Submissions. We may also use your e-mail address without further consent for non-marketing or administrative purposes (such as notifying you of major Site changes or customer service purposes).
5. You may opt-out at any time by changing your preferences. Your preferences can be changed by editing your profile online.
6. We use both your PII and certain non-PII (such as anonymous user data, cookies, IP addresses, browser type, click stream data, etc.) to improve the quality and design of the Site and to create new features, promotions, functionality and services by storing, tracking, analyzing and processing User preferences and trends, as well as User activity and communications.
7. We may share both PII as well as marketing data analysis, including User activity, with our advertisers and partners.
8. We use information collected during submission of Surveys and signups for Newsletters to send both the information as requested and additional information about our company or Site. Further, the information collected, including any demographics, is used to learn more about the types of people who visit our Site and improve our Services.

If any financial information is collected it will be used to bill you for Services offered or properties rented on the Site. If you used a credit card to pay for any Product on the Site, your credit card information may be subject to verification by the issuing credit card company or other third party company. Unless you give us permission at the time such information is collected, this information will not be used for any purpose except for the fulfillment and record keeping of current and future transactions.

In an attempt to provide increased value to our visitors, we may choose various third party web sites to link to, and/or frame within the Site. We also may participate in co-branding and other relationships to offer e-commerce and other services and features to our Users. However, even if the third party is affiliated with us, we have no control over these linked sites, each of which has separate privacy and data collection practices independent of us. Note: Your PII or financial information may be passed on to a third party in the event of a transfer of ownership or assets of EPN or a bankruptcy. We may also disclose PII or financial information when we determine that such disclosure is necessary to comply with applicable law, to cooperate with law enforcement or to protect the interests or safety of EPN or other visitors to the Site. Whenever PII or financial information is disclosed under this paragraph, we may also disclose your demographic information on a non-anonymous basis.

How does EPN Protect Users Personal Information?

We implement a variety of security measures to ensure the security of your PII on our systems. When you enter sensitive information (such as credit card number) on our registration or order forms, we encrypt that information using secure socket layer technology (SSL).

We follow generally accepted industry standards to protect the personal information submitted to us, both during transmission and once we receive it. No method of transmission over the Internet, or method of electronic storage, is 100% secure, therefore, while we strive to use commercially acceptable means to protect your PII, we cannot guarantee its absolute security.

Third parties may unlawfully attempt to intercept or access transmissions or private communications and other Users may abuse or misuse your personal information that they collect from the Site. Although we work very hard to protect your privacy, we do not promise, and you should not expect, that your personal information or private communications will always remain private.

Individuals under 13 years of age.

Does EPN Use Cookies?

How do you change PII provided or OPT-OUT?

EPN gives registered Users an option for modifying or removing some of the information from their Account. To update, modify or delete the information, please edit your online Account profile. We will comply with your requests as reasonably as we can. Please note that we require some PII for billing purposes. If you wish to delete your name, e-mail address, billing information or mailing address you may be unable to make any Purchases or, in some cases, even required to terminate your Account. However, please note, that while you may remove your PII from the Site at any time, you acknowledge that we may retain archived or cached copies of your PII.

By visiting the Site or using the Services, including, but not limited to making paying rent, receiving rent, receiving commission, paying commissions or Submissions, you consent to the collection and use of information by us as set forth in this Privacy Policy. If we decide to change our Privacy Policy, we will post those changes within this page so Users are always aware of what information we collect, how we use it, and under what circumstances, if any, we disclose it.

These T&Cs apply to all Users of the Site. The Site includes proprietary and third party information, including but not limited to all Properties, pictures, reviews, labels and other information supplements, in textual, visual, audio, video and/or other digital formats offered via the Site.

Registration:

In order to have access to certain features of the Site, you may be required to create an Account. You may never use someone else’s Account. When creating an Account with the Site, you agree to provide accurate, current and complete information about yourself ("Registration Data") as prompted by our registration form. Registration Data may include your e-mail address, user name and password. In order to use some of our Services, such as Purchasing Properties, you may need to voluntary provide some information including billing address and credit card information. You also represent that we may rely on your Registration Data as accurate, current and complete. You agree to maintain and update your Registration Data to keep it accurate, current and complete. We reserve the right, in our sole and absolute discretion, to terminate your Account for inaccurate, untrue, deceptive and/or incomplete Registration Data.

Username and Password:

As part of the registration process, you will be asked to select a username and password. We may refuse to grant to you any username, which in our sole and absolute discretion, is deemed to be invalid. Invalid usernames include, but are not limited to, usernames that are fashioned to impersonate another person, are protected by trademark law or other proprietary rights, are vulgar or otherwise offensive or those that may cause confusion. These are only some examples of invalid usernames and we reserve the right, at our sole discretion, to deem any username invalid at any time both during and after registration.

YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR USERNAME, PASSWORD AND ANY AND ALL PURCHASES, COMMUNICATIONS AND OTHER ACTIVITIES THAT ARE CONDUCTED THROUGH YOUR ACCOUNT. YOU AGREE NOT TO TRANSFER, SELL OR RESELL YOUR USERNAME AND PASSWORD, OR OTHERWISE PROVIDE ACCESS TO THE SITE, THROUGH THE USE OF YOUR USERNAME AND PASSWORD, TO ANY THIRD PARTY.

Eligibility:

All Users of the Site must be at least eighteen (18) years of age or older to enter into these T&Cs. This Site and its Services were designed for Users who are legal residents of the United States and its territories. Users from other countries are advised not to disclose personal information unless they consent to having their information used as set forth in this Site's Privacy Policy rather than under the law of User's home country. Usage of the Services is void where prohibited.

License Granted to Renters and other Users:

As a User of the Site, you are granted a non-exclusive, non-transferable, revocable and limited license to access and use the Site (and its associated content) and/or Services in accordance with this Agreement. We retain the right to terminate this license, without notice, in our sole and absolute discretion, at any time for any reason whatsoever. We also reserve any rights not explicitly granted in these T&Cs.

A Purchase Confers a License on the Purchasers/renters.

Some Properties, rented through the Site, are leased/rented to you the renter (“Renter”). Your license to and usage of each Property that you rent through the Site is subject to the following rules:

• Renters’ use of the Properties is conditioned upon prior acceptance of the terms of this Agreement.
• Renter shall be authorized to use the property per lease agreement.
• Renter agree that they will not attempt to, or encourage or assist any other person to, circumvent or modify any security technology or software that is part of the property.
• The renting of property does not transfer to renter any commercial or promotional use rights in the Property.

Renting Properties.

If you register any property for rent (“Rent”) via our Services, you (“you” or “Renter”) agree, acknowledge, represent and warrant that:

• All Properties you register for Rent via the Site comply with all applicable U.S. federal and state laws and regulations.
• Without further conditions or limitations, you authorize EPN to list any Property you register for Rent and make it available for Rent to Users at a price you designate ("Rent Price").
• EPN may remove any Property from the Site at any time, in its sole discretion, without cause or notice to you or any penalty or liability for doing so.
• You will advise EPN of any regulatory or legal complaints, or threats of such complaints, that you receive in connection with or relation to such Property you rent from any person, company or entity within two business days of your receipt of such complaint. You shall assist EPN, at your sole cost and expense, in taking any steps and actions, as necessary and appropriate, or as reasonably requested by EPN to respond to and/or resolve such complaints.
• Where applicable, EPN may collect and remit state or local transfer taxes (including but not limited to sales or use tax) where it is legally required to do so. Where EPN does not collect and remit state or local transfer taxes on a transaction, it is possible that you will have the legal obligation to pay such taxes. You may wish to consult a tax professional to determine if you will have this type of obligation in any particular state.
• You will not use the Site or our Services to:
  1. make any false or deceptive statement or claim regarding your Property or Rent of your Property;
  2. offer any promotions or incentives unless you intend to fulfill such promotions or incentives; or
  3. suggest in any way, whether express or implied, that your Property(s) are endorsed, approved or sponsored by EPN in any way. EPN reserves the right to suspend your ability to use the Site or our Services at any time.

Site fee:

The Site charges a fee of 3.8% to process rent payments. The Landlord designates who pays the fee. If the landlord choses to have the Renter pay the fee, the Renter will be charged $1038 to make a $1000 rent payment. The Landlord will receive $1000. If the Landlord choses to pay the fee, the Renter will be charged $1000 and the Landlord will receive $962 for a rent payment of $1000. In cases where the Landlord assigns a property manager commission of 3% for instance, the Landlord will receive a payout of $932 when the Landlord pays the site fee or $970 when the Renter pays the site fee. The property manager will always receive a payout of $30 regardless of who pays the site fee.

Paying rent:

Renters can use a credit card or bank account (ACH) to make a rent payment. Charges may apply.

Receiving rent:

At the completion of every rent payment for a property for rent, your Account will be credited (“Payout”) the rent Price minus any and all fees and costs. Fees and costs shall include a service fee paid out to EPN in the amount of 3.8% of the Rent Amount. Rents paid using a bank account (ACH) or credit card will take 3 to 5 business days for the money to transfer. All Payouts shall be subject to the following rules: It is your sole obligation to designate the Rent Price of Property you list on the Site. All rent charged for your Properties shall be subject to the Rent value indicated at the time of rent. Your Account shall be credited for Payouts following receipt by EPN of payment for rent and reporting by EPN’s own internal computer system. Payouts credited to your Account do not accrue interest. Payouts are sent directly to bank accounts specified by the Landlord. Payout rules are established and published on this site by EPN and may change from time to time at our sole and absolute discretion. EPN may, in its sole and absolute discretion, force a Cash Out at any time. As a Landlord, you agree, acknowledge, represent and warrant that: EPN shall have the sole right and responsibility for processing all rent payments. You acknowledge that all agreements relating to rent payment shall be between EPN and the User. You will not suggest or imply any warranty or other policy with respect to any Properties other than EPN’s written policies; You will not make any unlicensed or unauthorized use of or otherwise infringe or misappropriate any materials protected by any patent, copyright, trademark, trade secret, or other intellectual property or proprietary right ("IP Rights"). All communications and/or representations made by you in connection with any Property will be accurate and contain all disclosures and disclaimers necessary to prevent such statements from being false or deceptive. Such disclosures and disclaimers must be made in a clear and conspicuous manner, and will otherwise comply with your country's laws and all U.S. federal and state laws, including U.S. Federal Trade Commission regulations, policies and guidelines governing advertising, disclosure and consumer protection, including the FTCs endorsement rules. Except as provided for by our Services, you will not offer, suggest or imply the availability of any rebates, coupons, tickets, vouchers or similar incentives to induce or encourage renting of a Property. If you send, or cause to be sent, any messages or communications by electronic means, including but not limited to email and instant messages ("Emails") in connection with the Sale of any Property, then you agree, acknowledge, represent and warrant that all such Emails shall be in full-compliance with all applicable federal and state laws and regulations. You agree and acknowledge that EPN, in its sole discretion, may suspend your Account(s) or hold any or all funds in your Account if EPN suspects or has reason to believe and/or if a person otherwise claims that you have been involved with any of the following: Illegal activity, including but not limited to, fraud, spam or other illicit commercial activities or any other activity which violates any federal, state, local or foreign law whether currently in effect or hereafter enacted or amended ("Law"); Violation or infringement of any person's rights, including without limitation, any IP Rights; Misrepresenting, over-promising, making false, deceptive or misleading statements or any other acts in violation of federal or state law affecting consumer protection and commercial activities; A breach of any term of this Agreement or otherwise violating EPN’s rules or policies or interfering with EPN's business.

Payment processing service agreement acceptance:

Payment processing services for Users on this Site are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms and conditions or continuing to operate as a User on this Site, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of this Site enabling payment processing services through Stripe, you agree to provide this Site accurate and complete information about you and your business, and you authorize this Site to share it and transaction information related to your use of the payment processing services provided by Stripe.

Tenant Screening Report:

Information in the tenant screen report is provided by a third party and is subject to the agreement with the third party. By continuing to operate as a User on this site, you agree not to hold this Site liable for any information provided in tenant screening report.

Misconduct:

Following the suspension of an account or holding of funds, EPN may review your Account in any manner decided by EPN at its sole discretion. EPN may seize and/or retain funds in your Account as liquidated damages and/or for the benefit of third parties affected by the misconduct. You acknowledge and agree that such liquidated damages: (a) are not a penalty, and (b) are reasonable and not disproportionate to such presumed damages to EPN. You agree and acknowledge that EPN may also pursue other remedies as allowed by law.

License Granted to Users:

By registering as a User, you hereby grant EPN the following rights in full and complete consideration of EPN’s promotion, marketing and renting of your Properties (the “Services”). The rights granted by you demand no further consideration due from EPN or any third party, and with the understanding that EPN, in its sole and absolute discretion may choose whether or not to open, maintain or cancel your Account. The following rights granted by you to EPN are a fundamental element of the basis of the bargain between EPN and you. These rights are required to permit the operation of our Services. The Site and Services would not be provided to you without such a grant of rights.

1. You hereby grant EPN a non-exclusive, unlimited, worldwide, fully paid, irrevocable license to copyright, edit, copy, use, destroy, publish, broadcast, archive, retrieve, upload, excerpted, post, distribute, rent, sell, market, promote, license, exhibit, transmit, project, reproduce, create derivative Properties of and otherwise use and/or exploit (together “Publish”) your Properties together with any interviews, submitted information, video, audio, audiovisual or written materials as well as your name, voice, likeness, photograph, performance, appearance and any and all biographical material via, thru and on the Site as permitted by this Agreement or the T&Cs as posted on the Site.
2. You hereby grant EPN a non-exclusive, unlimited, worldwide, fully paid, irrevocable, perpetual license to Publish your name, voice, likeness, photograph, audio/video and any and all biographical material for the purpose of advertising or promoting your participation on the Site. This provision shall survive termination of the Agreement.
3. You understand that during the course of your participation on the Site you may reveal, and other parties may reveal, information about you that is of a personal, private, embarrassing or unfavorable nature, which information may be factual and/or fictional. You further understand that your appearance, depiction and/or portrayal on the Site may be disparaging, defamatory, embarrassing or of an otherwise unfavorable nature which may expose you to public ridicule, humiliation or condemnation. You further acknowledge and agree that EPN shall have the right to
   1. include any or all such information and appearances, depictions or portrayals on the Site in its sole discretion, and
   2. Publish the materials containing any or all such information and appearances, depictions or portrayals in any manner whatsoever in any and all media now known or hereafter devised, or for any other purpose in perpetuity. You hereby waive and shall have no claim against EPN for invasion of privacy, right of publicity violation, defamation or any other cause of action arising out of the Production, duplication, broadcast or exhibition of your appearance on the Site and you expressly release EPN and its respective agents, employees, licensees and assigns from any and all claims which you have or may have for any such claims.
4. You represent, warrant, covenant and indemnify EPN to the effect that
   1. you are the sole and exclusive owner with all rights, titles and interests to and in any Properties you Rent or other materials you make available or publish on the Site and
   2. that any and all such Properties are ones that you have originally created in their entirety and that no other parties need to be contacted for permission to Publish, air and otherwise use your Properties, in whole or part, as set forth in this Agreement.
5. You agree that the inclusion of your Properties and your participation on the Site, if any, shall not be deemed to be a performance and is not employment under any collective bargaining agreement or performing arts guild and does not entitle you to wages, salary, residuals, corporate or other benefits (as for example, pension, health and welfare benefits) or other compensation under any such collective bargaining agreement or otherwise.
6. You acknowledge that EPN is relying on your representations herein and that a breach by you hereunder would cause EPN irrevocable injury and damage that cannot be reasonably or adequately compensated by damages in an action at law; and, therefore, you hereby expressly agree that EPN shall be entitled to injunctive and other equitable relief to prevent and/or cure any breach or threatened breach of this Agreement by you.

Term/Termination:

We may decide at any time in our sole and absolute discretion whether to remove and/or terminate a User’s access to the Site or our Services, for any reason, including but not limited to violations of these T&Cs. We may or may not provide notice to you of such termination through any reasonable means including, but not limited to, sending notice to you at the e-mail address that you provided during or subsequent to registration or Purchase. Such termination is effective when executed by us or upon transmittal by us. However, your obligations of indemnification as provided herein shall survive any termination or the cancellation of Account. Withdrawal of consent or request to have your Account terminated will have no effect on the legal validity and/or enforceability of these T&Cs for the time period prior to your request and during the time period needed for us to reasonably act to comply with your request.

Use of Content on Site:

All information provided on the Site is accurate at the time of publication. Any information listed, uploaded, posted or made available by Users of the Site are those of the respective Users and not of EPN, and should not necessarily be relied upon. Such Users are solely responsible for the accuracy, completeness or usefulness of such content. EPN does not guarantee the accuracy, completeness or usefulness of any information made available by Users on the Site and neither adopts, endorses, nor is responsible for the accuracy, completeness or reliability of any opinion, advice or statement made on the Site. The Users understand and agree that EPN will not be responsible for, and Users hereby agree to hold EPN harmless from, any and all loss or damage resulting from anyone's reliance on information or other content posted on the Site by other Users of the Site. You may access such information solely

1. for your general entertainment, information and personal use; and
2. as intended through the normal functionality of the Site.

Proprietary Rights to Site Content:

The content on the Site, including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like (the “Content”) and the trademarks, service marks and logos contained therein (the “Marks”), are owned by or licensed to us or the Landlords, subject to copyright and other intellectual property rights. Except as explicitly granted to you as an Affiliate, the copying, redistribution or publication by you of any part of the Site and Services is strictly prohibited. You do not acquire ownership rights to any Content, Marks, Services or other materials viewed at, on or through the Site and Services. The posting of information or material at or on the Site by us or the Users does not constitute a waiver of any right in such information and materials.

Users’ Submissions and Comments.

This section governs the Submission of any photograph(s), audio, music, video(s), image(s), text and/or comment(s) or other content to the Site. As Users (including Landlords, Renters and Property Managers) of the Site you may make Submissions. Users agree that whether published or not, EPN does not guarantee the confidentiality of their Submissions. EPN does not condone or tolerate the submission of illegal or inappropriate content. By posting your Submissions, or attempting to post your Submissions, you hereby agree, and are fully subject, to these content terms ("Content Terms"). These Content Terms govern each and every Submission that you post to the Site. In consideration for posting your Submissions to the Site, you represent, warrant and agree that:

1. You are eighteen (18) years of age or older;
2. You are the individual identified in the Submissions or, if the Submissions identify other individual(s), that you have previously obtained from the individual(s) identified, and/or their authorized representatives, the written permission and consent for such use, publication and/or display. You further agree that you will provide to EPN with a copy of such written permission and consent upon request. Submissions which identify or contain photographs/images of third parties does not create any type of agreement whatsoever between EPN and said third parties as there are no third party beneficiaries to these T&Cs or to the Privacy Policy;
The Submissions do not contain obscene material, as defined under Federal Law, including, without limitation, violence, other illegal activities or contraband;
3. You have full rights to use and dispose of any rights including, without limitation, any and all copyrights, associated with the Submissions;
4. No other party has any rights, including intellectual property rights, to the Submissions;
5. You hereby grant EPN, its parents, subsidiaries, affiliates or assigns a non-exclusive, unlimited, worldwide, fully paid, irrevocable license to copyright, edit, copy, use, destroy and/or publish the Submissions as permitted by these T&Cs and our Privacy Policy. This license shall permit and include the usage of Submissions in any advertisements in any media or form. This section shall survive any termination of the Agreement.
6. EPN may, in its sole and absolute discretion, choose to screen Submissions and reject any Submissions for any reason, or no reason, whatsoever;
7. You waive any right that you may have to inspect and/or approve any finished Property or copy using and/or incorporating the Submissions, or the use to which the Submissions may be applied;
8. EPN may include or add editorial copy and/or other writings or graphics with the Submissions; and
9. You are subject to any other guidelines and/or rules and regulations that may appear at the Site.

Online Conduct:

You are solely responsible for the Submissions and/or other information that you publish, transmit and/or post on the Site. You agree to use the Site in a manner consistent with any and all applicable laws and regulations as they now exist or may herein after be promulgated. You agree not to:

1. post, or attempt to post, any text, audio, music, photographs, videos or other images containing offensive and/or confidential information;
2. impersonate any person or entity;
3. "stalk" or otherwise harass any person via the Site;
4. engage in advertising to, or solicitation of, other Users to buy, sell or rent any Properties or services through the Site;
5. transmit any chain letters, spam or junk e-mail to other Users;
6. express or imply, without our specific, prior, written consent that any statements you make are endorsed by EPN;
7. harvest or collect personal information about other Users, whether or not for commercial purposes, without their express consent;
8. use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Site or its contents;
9. post, distribute or reproduce in any way any copyrighted material, trademarks or other proprietary information without obtaining the prior consent of EPN or the owner of such proprietary rights;
10. access Submissions or the Site through any technology or means other than through the means provided on the Site themselves or other explicitly authorized means EPN may designate;
11. remove any copyright, trademark or other proprietary rights notices contained on the Site;
12. interfere with or disrupt the Site, or the servers and/or networks connected to the Site;
13. post, e-mail or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
14. forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Site;
15. "frame" or "mirror" any part of the Site, without our specific, prior written authorization;
16. use metatags, code or other devices containing any reference to EPN or the Site in order to direct any person to any other website for any purpose; and/or modify, adapt, sublicense, translate, rent, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Site or any software used on or for the Site or cause others to do so; and
17. use the Site, including any tools or technologies made available therein, for any commercial purpose, without the prior written consent of EPN. Prohibited commercial uses include any of the following actions taken without EPN’s express consent: (i) sale of access to the Site or its related Services on another website; and/or (ii) use of the Site or its related Services, for the primary purpose of gaining advertisements or subscription revenue.

EPN reserves the right, but has no obligation, to reject any Account or Submission that does not comply, in EPN’s sole and absolute discretion, with these prohibitions. Engaging in any of the aforementioned prohibited practices shall be deemed a breach of these T&Cs and may result in the immediate termination of your Account pursuant to these T&Cs. EPN reserves the right to pursue any and all legal remedies against Users who engage in any of the aforementioned prohibited conduct.

However, in any event, EPN assumes no responsibility for the conduct of other Users of the Site.

Digital Millennium Copyright Act

1. If you are a copyright owner or an agent thereof and believe that any Submissions or other Content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing our Copyright Agent (defined below) with the following information in writing (see 17 U.S.C. 512(c)(3) for more detail):
   • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
   • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
   • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material;
   • Information reasonably sufficient to permit the service provider to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;
   • A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
   • A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

   You acknowledge that if you fail to comply with all of the requirements of this section, your DMCA notice may not be valid.

2. Counter-Notice. If you believe that your Submissions that were removed (or to which access has been disabled) were not infringing or that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to law, to post and use the content in your Submissions, you may send a counter-notice containing the following information to the Copyright Agent:
   • Your physical or electronic signature;
   • Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled;
   • A statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content;
   • Your name, address, telephone number, and e-mail address;
   • a statement that you consent to the jurisdiction of the federal court in New Castle County, Delaware; and
   • a statement that you will accept service of process from the person who provided notification of the alleged infringement.

Privacy:

Your privacy is very important to us. To better protect your rights, we have provided you with our Privacy Policy, which may change from time to time, without notice. To read our Privacy Policy, please use the link provided on the Site’s home page.

Indemnification:

You agree to indemnify, defend and hold us, and our subsidiaries, affiliates, officers, parent companies, agents, co-branders or other partners, and employees (each a "Covered Party"), harmless, at your expense, against any and all claims, actions, proceedings, and suits and all related liabilities, damages, settlements, penalties, fines, costs and expenses (including, without limitation, reasonable attorneys' fees and other dispute resolution expenses) incurred by any Covered Party or other third party and arising out of, (i) your use or misuse of the Site or the Services, (ii) arising from your breach of this Agreement, or (iii) arising from your violation or breach of any term of these T&Cs or any policies, rules or guidelines referenced herein.

Warranties:

You expressly agree that access and use of the Site and Services is at your sole risk. The Site and Services are provided on an "AS IS" and "AS AVAILABLE" basis, without any express or implied warranty of any kind, including, but not limited, non-infringement of intellectual property. The Site and Services may contain bugs, errors, problems or other limitations.

EPN and the Covered Parties have no liability whatsoever for your use of, or inability to use, the Site or Services to the fullest extent permitted by applicable law. EPN and the Covered Parties are not liable to you or to any third party for any indirect, special, incidental or consequential damages, whether based on breach of contract, breach of warranty, tort (including negligence), Property liability or otherwise, even if advised of the possibility of such damages.

The negation of damages set forth above is a fundamental element of the basis of the bargain between EPN and you. The Site and Services would not be provided to you without such limitations. No advice or information, whether oral or written, obtained by you from us through the Site and/or Services shall create any warranty, representation or guarantee not expressly stated in this Agreement. EPN is not responsible to you or any third party, without limitation, for: 1) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to or alteration of, User communications; 2) the conduct of any User, whether online or offline; 3) any computer virus or other malicious, destructive or corrupting code, agent, program or macros; or 4) any infringement of another's rights, including intellectual property rights.

You agree that EPN is not the publisher of Submissions found on the Site and, as such, shall not be liable for damages arising there from including, without limitation, any and all criminal or civil liability.

EPN shall not be liable to you for any Services, goods and/or information available from third parties, even if obtained at or through the Site or Services. If you are dissatisfied with the Site or Services or with this Agreement, your sole and exclusive remedy is the cancellation of your membership and to discontinue use of the Site and Services.

Third-party Websites:

The Site may contain links to other websites owned and operated by EPN, as well as links, banner advertisements, pop-ups or other online methods to redirect you to other third party websites not owned or controlled by EPN. EPN has no control over and assumes no responsibility or liability for the content, privacy policies or practices of any third party site. By using the Site, you expressly relieve EPN from any and all liability arising from your use of any third party website. Furthermore, EPN does not endorse and is not responsible or liable for any content, advertising, services, Properties or other materials at or available through such third party websites or resources, or for any damages or losses arising there from. Accordingly, you are encouraged to be aware when you leave the Site and to read the terms and conditions and privacy policies of each other website that you visit. You will bound by the terms and conditions, policy policies, and rules and regulations of any EPN or third party website you access through the Site.

Any and all Purchases are final. Any and all language on the Site not withstanding, no returns shall be accepted nor any credits/refunds shall be issued for any Purchase made for Properties or Services.

Miscellaneous:

Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in, or associated with, the Site or Services is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision, or any other provisions in this Agreement. You expressly authorize us to comply with any and all lawful notices, subpoenas, court orders or warrants without prior notice to you.

Dispute Resolution:

If a dispute arises between you and EPN, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and EPN agree that we will resolve any claim or controversy at law or equity that arises out of this Agreement or our Services (a "Claim") in accordance with the subsections below or as we and you otherwise agree in writing. We strongly encourage you to first contact us directly to seek a resolution by sending an e-mail to info@rentpayhub.com. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

Choice of Law and Forum:

This Agreement shall be treated as though it were executed and performed in New Castle County, Delaware and shall be governed in all respects by the laws of the State of Delaware without regard to conflict of law provisions. You agree that any Claim or dispute you may have against EPN must be resolved by a court located in New Castle County, Delaware, except as otherwise agreed by the parties. You agree to submit to the personal jurisdiction of the courts located within New Castle County, Delaware for the purpose of litigating all such Claims or disputes.
